Enterprises and organizations are legal entities,carrying out their activities in the territory of the Russian Federation, can do this only after they have passed the procedure for state registration. Its confirmation is a Certificate of state registration of a legal entity and an extract from a single state register, in which all information about legal entities is entered.
Laws regulating state registration
State registration isconfirmation of the fact that the enterprise was established in accordance with the rules established by the legislation, has the necessary authorized capital, constituent and legal documents. Without this official confirmation, the enterprise's activities are illegal and it will not be able to register with the tax inspectorate or open a bank account. The procedure and rules for registration of state registration are regulated by the Federal Law "On State Registration of Legal Entities and Individual Entrepreneurs", as well as Article 51 of the Civil Code of the Russian Federation "State Registration of Legal Entities". This registration is carried out by the territorial tax authority to which the enterprise belongs at its legal address.The package of documents is provided on paper and, if possible, in electronic form.
Documents required for state registration
In the tax inspection for obtaining a certificateon the state registration of an enterprise must provide the following package of documents: - an application for state registration, in which it is confirmed that all the documents submitted meet the established requirements; the information indicated in them is reliable; the organization was created in compliance with all requirements to the form of ownership chosen by it and other information confirming compliance with the existing rules - a document on the establishment of this enterprise - a legal entity, issued as a decision of the general meeting of the founders, protocol or contract - originals or notarized copies of constituent documents - a receipt or other payment document confirming the payment of the state fee for the registration of a legal entity.The certificate shall be sent to the address of the enterprise or issued to its representative no later than one working day from the moment of state registration.
